The Succession Fund: private equity financing for succession transactions, management buyouts, and shareholders looking for partial liquidity or wanting to “take chips off the table

Chips Off The Table

“Chips off the Table” refers to any circumstance where shareholders want to sell some or all of their shares without disruption to their business, in particular where the company is neither restructuring nor refinancing.

For example, The Succession Fund can help when:

  • An owner who has the majority of their wealth invested in the family business wants to take "Chips off the Table" to diversify their assets or begin their succession planning. If an owner does not want to sell the whole business, or achieve partial liquidity by putting debt on the balance sheet, then The Succession Fund offers an alternative solution.

  • Minority shareholders of a business are seeking liquidity sooner than the owner/operators that hold control. The Succession Fund will buy out these shareholders and build a partnership with the owner/operators who are committed to staying on board.

  • In a management buyout situation, current or new management want to acquire a business and need an equity partner to support the deal. The Succession Fund will be that partner.

These transactions may result from management differences, estate planning, retirement, generational conflict, disputes among partners or family members, death or divorce, or where management buyouts are being pursued.
